This Statement of Work (SOW) incorporates by reference the terms and conditions, specifications, and other contract documents of Statewide Contract Number 233. In case of any conflict between this SOW and the Contract, the Contract shall prevail. Requirements Definitions a) Acceptance - Refers to the act of an authorized State representative by which the State of Tennessee assents to ownership of existing and identified supplies or approves specific services rendered, as partial or complete performance of a contract. All Acceptance shall be in writing. b) Discovery – An executable that runs on computer systems to detect hardware, software and software usage c) Entitlement – A specific right granted to a user of a licensed product, usually regarding how it may be used. This is defined within the License agreement. d) Project Manager - The person in overall charge of the planning and execution of a particular project. e) Service – A system or group of systems combined with people and process to deliver value to the end customer f) Software – Definitive software title that can be commercially purchased or internally developed (e.g. MS Project Pro 2008 is different than MS Project Standard 2008 or SQL Server 2005 is different than SQL Server 2005 Analysis Services) g) Software Compliance – The degree to which a consumer adheres to the terms and conditions of the software license. h) Software Contract – The terms and conditions of the usage and support of the purchased software licenses including number of rights, types of rights, length and cost of usage i) Software License Agreement– A license to use one or more Software rights to a license as specified by the software contract j) Software Rights – The number of instances of a specific software license defined by the software contract k) Software Usage – Rules that are set up for the scanner whether a license is actually being used (e.g. no usage for 90 days) l) System – The integration of applications, hardware, and interfaces that work together to meet a business need and support a business service Services Required 1) Project Management Project Management Team. The Vendor shall provide a Project Management Team. i. Vendor shall designate a single Vendor Project Manager to serve as the Vendors primary point of contact to the State for all activities and issues. ii. The Project Manager shall have experience implementing a Software Asset Management Program. iii. At least two (2) members of the Vendors Project Management Team will have a minimum of one (1) years experience implementing a ServiceNow module. iv. Provide a weekly status report. The Vendor shall prepare and distribute to designated stakeholders a report to include at minimum: Synopsis of the status for current activities Outstanding issues and expected resolution dates Key risks/issues Schedule and tasks for resources for the coming week Report any changes to the schedule Assessment of progress against plan and any slipped or slipping tasks Planned tasks not worked or completed during the report period v. Provide a monthly status report. The Vendor shall prepare and submit a Monthly Progress Report throughout the Statement of Work duration. Project Management Plan. The Vendor shall work with the State Project Manager to develop a Project Management Plan that meets all Deliverables Project Phases.
